§1 — Subject matter and parties
These Terms of Sale (the "Terms") govern the purchase of licences of the VoltPilot software, licensed by the developer and owner of the rights in it, operating under the business name VoltPilot and established in Québec, Canada (the "Licensor", "we"), reachable at support@voltpilotpower.com.
Use of the Software is governed by the EULA; the processing of personal data, by the Privacy Policy. In case of conflict on a matter of use, the EULA prevails; on a matter of purchase, payment and refund, these Terms prevail.
§2 — Who sells: Paddle as Merchant of Record
2.1 The purchase is processed by Paddle, acting as Merchant of Record — that is, as authorised reseller of the Software. Paddle appears as the seller on your invoice and on your card statement, and it is Paddle that collects applicable taxes.
2.2 The right to use the Software is granted by us, under the EULA.
2.3 By purchasing, you also accept Paddle's terms, presented at the time of payment. Where Paddle imposes its own rule on invoicing, tax or payment method, that rule prevails over these Terms only in what falls within its competence.
§3 — What you buy
3.1 A licence to use VoltPilot in accordance with the Plan chosen at checkout. The Plan defines features, limits, number of activations, duration and price, and is the source of truth as to what was purchased.
3.2 The licence is named — tied to the account that activates it — and may not be shared between different professionals (EULA §3.3).
3.3 The standard Plan includes one (1) simultaneous activation per named user. A device may be deactivated at any time from within the application or from the account portal, releasing the activation for another machine.
3.4 Not included: technical standards (CSA, NFPA 70, ABNT NBR 5410 and others) are not shipped with the Software and must be licensed by you from their respective owners (EULA §9); engineering, consulting, training or design review services; and API keys for AI providers, which are yours (EULA §11).
§4 — Prices, currency and taxes
4.1 The prices in force are those displayed at checkout at the time of purchase, in USD, CAD or BRL.
4.2 Taxes — VAT, GST/QST, sales tax, withholdings and equivalents — are calculated, charged and remitted by Paddle according to your billing country and state, and may be added to the price displayed.
4.3 Currency conversion costs and fees charged by your bank or card issuer are your responsibility.
§5 — Free evaluation
5.1 Where offered, the evaluation lasts seven (7) calendar days, allows one activation, and requires no credit card.
5.2 Once the period ends, access is restricted until a Plan is purchased. The evaluation does not convert automatically into a purchase and generates no charge.
5.3 One evaluation per person and per device. Attempting to obtain successive evaluations — multiple accounts, reinstallation, alteration of machine identifiers, or clock manipulation — ends the evaluation and may block the account (EULA §5.3).
§6 — Duration, renewal and maintenance
6.1 Subscriptions renew automatically at the end of each period, at the price in force for the renewal, until you cancel.
6.2 Cancellation can be made at any time from the account portal and takes effect at the end of the period already paid for — you keep access until then, and there is no further charge. Cancelling does not give rise to a pro-rata refund of the current period, subject to §8 and to the consumer's statutory rights.
6.3 A perpetual licence, where offered in the Plan, gives the right to use indefinitely the version current at the time of purchase and the versions released during the maintenance period of one (1) year. Once maintenance ends, the Software keeps working; new versions then require renewal.
6.4 A price change does not affect the period already paid for. An increase is communicated by email at least 30 days before renewal, and you may cancel before it takes effect.
§7 — Delivery
7.1 Delivery is digital and immediate: after payment is confirmed, the licence is enabled on your account and the installer becomes available for download.
7.2 Requirements you need to know BEFORE buying:
- a supported operating system, as published on the product website at the time of purchase (today, 64-bit Windows; macOS support may be added in a future version, and is not promised by these Terms);
- an internet connection to activate the licence;
- periodic online revalidation: the Software revalidates the licence daily, silently. You can work offline for the tolerance period stated in the licence itself; once that period lapses without revalidation, access is restricted until the next successful verification;
- the Software does not open if it cannot verify the authenticity of the licence (EULA §4.6);
- moving the system clock backwards suspends the offline tolerance and requires online revalidation (EULA §4.5).
7.3 We recommend using the free evaluation (§5) to confirm, in your own environment, that these requirements fit your routine — including on construction sites and on restrictive corporate networks.
§8 — Refunds and right of withdrawal
8.1 Our policy: full refund within 14 calendar days of purchase, on request at support@voltpilotpower.com or through Paddle's channel. We do not require a reason.
8.2 Statutory rights are preserved, and they prevail over the item above:
- Québec and other jurisdictions: the non-waivable rights provided by local consumer protection law apply in full;
- European Union: 14 days of withdrawal for consumers, subject to the statutory reservation applicable to digital content delivered immediately with express consent and informed waiver;
- Brazil (CDC, art. 49): an online purchase gives the consumer 7 days to withdraw, counted from the contract or from receipt, with full and immediate return of the amounts paid, monetarily adjusted.
8.3 A refund of a renewal already charged follows the same window as §8.1, counted from the renewal date.
8.4 We may refuse a refund in case of proven fraud, abuse of the policy (repeated purchase-and-refund requests) or breach of the EULA. A refusal is always given in writing with reasons.
8.5 The refund is operated by Paddle, to the same payment method, within the issuer's timeframes.
8.6 A full refund revokes the licence — access to the Software ceases. Your project files remain yours and remain on your device (EULA §8.4).
§9 — Change of plan
9.1 An upgrade takes effect immediately, with a charge proportional to the remainder of the current period.
9.2 A downgrade takes effect immediately; the unused remainder of the current period becomes a credit on your payment account with Paddle and is applied to future charges.
9.3 Devices already activated keep working after a downgrade. While the number of active devices exceeds the limit of the new plan, no new device can be activated.
§10 — Payment failure and chargeback
10.1 If a charge fails, we retry and notify you by email. If the failure persists, the licence is suspended — not deleted — and works again once the situation is regularised.
10.2 A chargeback revokes the licence immediately. If it was opened by mistake, talk to us: we would rather resolve it by refund than by blocking.
§11 — Invoices
Invoices and receipts are issued by Paddle and are available in the customer portal, together with the billing history and the payment method on file.
§12 — Corporate use, resale and volume licences
12.1 Purchases by a legal entity are subject to these Terms, and whoever accepts represents that they have authority to bind the company.

§13 — Support
The support included in each Plan is provided at support@voltpilotpower.com. There is no commitment as to service level (SLA), response time, or correction of any particular defect, save a separate written agreement (EULA §12.3).
§14 — Suspension and termination
We may suspend or terminate the licence in case of non-payment (§10), chargeback, fraud, or breach of the EULA — in particular circumvention of the licence controls. Termination for breach does not give rise to a refund of the current period.
§15 — Governing law and forum
These Terms are governed by the laws of the Province of Québec and the laws of Canada applicable therein, excluding conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The district judiciaire de Montréal is chosen as the forum, save for the forum which the law guarantees to a consumer, which prevails.
